CITY OF STAPLES ORDINANCE NO. 489

STATEMENT OF

INTENT AND

PURPOSE

AN ORDINANCE creating a new gas franchise ordinance and gas franchise by reenacting, renewing and extending the term of City Ordinance No. 359, published June 21, 1990 and amended by City Ordinance No. 375, published May 20, 1993 (together, the “Original Gas Franchise Ordinance”).

THE CITY COUNCIL OF THE CITY OF STAPLES, MINNESOTA DOES ORDAIN AS FOLLOWS:

Article I

Section 1.1. The Original Gas Franchise Ordinance is hereby re-enacted, renewed and extended and the Franchise as defined therein is hereby granted to the Grantee specified in Section 1.3. Each and every provision of the Original Gas Ordinance is hereby incorporated herein as if fully set forth herein and shall from and after the effective date of this Ordinance establish and govern the rights and obligations of the City and the Grantee except as amended or modified by this Ordinance. (Hereafter, this Ordinance shall be referred to as the “New Gas Franchise Ordinance” and the Franchise granted herein as the “New Gas Franchise.”)

Section 1.2. Notwithstanding any contrary provision in the Original Gas Franchise Ordinance, the term of this New Gas Franchise Ordinance and the New Gas Franchise granted herein shall run for an initial term of 180 days from the effective date of this New Gas Franchise Ordinance and the Ne Gas Franchise shall be terminable at the will of the City, with or without cause, as provided in the Original Gas Franchise Ordinance.

Section 1.3. The New Gas Franchise is granted to Minnesota Energy Resources Corporation the (“Grantee”) which shall be subject to all of the duties and obligations imposed and enjoy all of the rights and privileges provided to the grantee in the Original Gas Franchise Ordinance, except as modified in Section 1.2.

Article II

City Ordinance No. 484, published December 31, 2009, establishes an obligation to pay a franchise fee to City upon each “Gas Company” as defined in Ordinance No. 484. That Ordinance remains in effect without change and continues to obligate Grantee to pay the franchise fee and perform the other duties provided therein for so long as it remains a Gas Company as defined therein.

Article III

This Ordinance shall be effective upon its adoption and publication according to law.
